Please read these Terms carefully. By creating an account or purchasing connectivity services from Zentari Networks Ltd ("Zentari Networks", "we", "us"), you ("Customer", "you") agree to be bound by these terms.

1. Service Definition

Zentari Networks provides Multi-Network IoT and M2M connectivity services ("Services") managed via the Axis platform through resale agreements with tier-1 network operators. These services are intended specifically for commercial, industrial, and fleet applications.

1.1 Business Use Only: You warrant that you are purchasing these services for business or professional purposes. You acknowledge that consumer protection laws (such as the Consumer Rights Act 2015 regarding cooling-off periods) do not apply to this contract.

2. Network Availability & Roaming

2.1 No Guarantee: Mobile networks are radio-based and subject to interference, topography, and maintenance. We do not guarantee 100% uptime or specific data speeds.

2.2 Roaming: Our SIMs roam on multiple networks (e.g., O2, EE, Three, Vodafone). While we strive to connect you to the strongest signal, network priority is determined by the local host operator.

3. Data Usage & Pooling

3.1 Data Allowance: Data is purchased in "Dynamic Fleet Pools". Overage usage beyond your purchased allowance will be charged at the standard out-of-bundle rate unless otherwise agreed in writing.

3.2 Monitoring: It is your responsibility to monitor your fleet's data usage via the Axis Dashboard. We reserve the right to suspend any SIM that exhibits anomalous or fraudulent traffic patterns.

4. Customer Obligations

  • You must not use the Services for any illegal purpose, including spamming, fraud, or distributing malware.
  • You must ensure your hardware (CCTV, routers, trackers) is compliant with UK/EU radio frequency regulations.
  • You are responsible for the physical security of the SIM cards. Stolen SIMs must be reported immediately; you are liable for usage until the SIM is suspended.

5. Payment Terms

5.1 Billing: Services are billed in advance on a monthly subscription basis. Overage charges are billed in arrears.

5.2 Non-Payment: If payment fails, we will retry. If payment remains outstanding, we reserve the right to suspend connectivity to your entire fleet without liability.

6. Cancellation & Termination

6.1 Monthly Rolling: Unless a specific fixed term is agreed, contracts are monthly rolling. You may cancel with 30 days' notice via the dashboard.

7. Limitation of Liability

7.1 Cap: Our total liability to you for any claim arising out of this agreement shall be limited to the total fees paid by you in the 3 months preceding the claim.

7.2 Exclusions: We are not liable for any indirect loss, loss of profit, loss of business, or loss of data (including CCTV footage missing due to connection failure).

8. Governing Law

These terms shall be governed by and construed in accordance with the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the English courts.
